End User License Agreement

1. Agreement Scope

This End User License Agreement (“Agreement”) governs the use of Porifera software and related documentation. By installing or using Porifera, the customer agrees to the terms of this Agreement.

This Agreement should be read together with the Privacy Policy, Service Level Agreement (SLA), and Support Policy.

2. License Grant

Porifera grants the customer a non-exclusive, non-transferable, limited license to use the software during the active subscription term, solely for internal business purposes.

3. Authorized Use

Use of the software is limited to the licensed asset tiers, environments, and configurations defined in the applicable subscription or commercial agreement.

4. Restrictions

The customer may not:

• Reverse engineer, decompile, or modify the software
• Resell, sublicense, or distribute without written authorization
• Bypass licensing or technical safeguards

5. Intellectual Property

All intellectual property rights in the software remain the exclusive property of Porifera. No ownership rights are transferred under this Agreement.

6. Updates And Changes

Porifera may provide updates, patches, or enhancements. Certain updates may require subscription upgrades or configuration changes.

7. Warranty Disclaimer

The software is provided “as is.” Porifera disclaims all warranties, express or implied, to the maximum extent permitted by law.

8. Limitation Of Liability

Porifera’s total liability under this Agreement is limited to the fees paid by the customer for the applicable subscription period.

9. Termination

This Agreement terminates upon subscription expiration or material breach. Upon termination, the customer must cease use of the software.

10. Governing Law

This Agreement is governed by the laws of the United Arab Emirates.
